Terms of Use

Last updated: 7 min read

1. Acceptance of these terms

These Terms of Use apply to everyone who visits or uses bibhakarspices.com, including the English, Russian and Chinese versions. By using the website, you agree to these terms. If you do not agree, please do not use the website.

If you use the website for a company, you confirm that you may accept these terms for that company. These terms are an electronic record under the Information Technology Act, 2000 and do not need a physical or digital signature.

2. Who we are

The website is operated by Bibhakar & Sons Private Limited (brand: Bibhakar Spices). In these terms, “we”, “us” and “our” mean this company.

3. A business-to-business website

This website is for importers, distributors, food manufacturers, HoReCa buyers and private-label clients. It does not sell products online, take payments or accept orders through a cart.

We also sell retail packs through online marketplaces such as Amazon, Walmart, Ozon, Joom, Flipkart, JioMart, ONDC, Etsy, GlobalLinker and IndiaMART. Those purchases are governed by the marketplace’s own terms, returns and privacy policies, not by these terms. Your statutory rights as a consumer under Indian or local law are not affected.

4. Website information is not an offer

Product pages, specifications, price indications, MOQs and packaging options are an invitation to make an enquiry. They are not an offer that you can accept to form a contract.

A contract is formed only when we issue a written quotation or proforma invoice and you accept it in writing, or when we confirm your purchase order in writing. That document, together with our Shipping, Payment & Trade Terms and our Quality Claims policy, governs the sale. If any of these conflict with the website, the signed or accepted quotation, proforma invoice or contract prevails.

5. Product information and images

Spices, seeds and coffee are natural agricultural products. Colour, size, aroma, oil content and moisture vary by crop, season and lot. Specifications on the website are typical values, not guaranteed minimums, unless they are written into your quotation or contract.

Photos and infographics are for illustration. Actual products, labels and packaging may look different. Origin descriptions refer to the usual growing region of a product; the origin of a specific lot is stated in its commercial documents.

Certificates, registrations and test reports shown on the website are valid for the scope and dates stated on them. Ask us for the current version before you rely on any of them. Our US FDA food facility registration is not an FDA approval or endorsement of our products. Labelling for a shipment follows the rules of the destination country and, for India, the Legal Metrology (Packaged Commodities) Rules, 2011 and FSSAI labelling regulations, as agreed in the contract.

6. Prices and availability

Any price shown or sent by message is indicative. Spice prices change often with crop, currency and freight. A quotation is valid only for the period stated on it, normally 7 days. Availability is not guaranteed until we confirm an order in writing. We may correct errors on the website at any time.

7. Intellectual property and brand use

BIBHAKAR® and the Bibhakar Spices name, logo, label designs, photos, text and site design are owned by or licensed to us. You may view and print pages for your own business evaluation. You may not copy, republish, sell or modify them without our written permission.

White-label and private-label clients get no right, licence or interest in the BIBHAKAR marks or our designs. Products packed under your own brand must not use our marks, our registration numbers or our certificates unless we agree in writing. Distributors may use our marks only as agreed in a written distribution agreement.

8. Permitted use and prohibited conduct

You may use the website only for lawful purposes. You must not:

  • scrape, crawl or copy prices, product data or images by automated means, except normal search-engine indexing;
  • copy, display or use our FSSAI, IEC, Spices Board, FIEO, D-U-N-S, FDA or other registration numbers or certificates to represent your own business or products;
  • pretend to be us, our staff or our agent, or create fake quotations, invoices or test reports in our name;
  • upload malware, attempt to access non-public areas, or disrupt or overload the website;
  • send spam, unlawful, misleading or infringing content through our forms or messaging channels;
  • use the website in breach of any applicable law, including the Information Technology Act, 2000.

9. Your enquiries, files and specifications

When you send an enquiry, specification sheet, artwork or other file, you confirm that you have the right to share it and that it does not infringe anyone’s rights. You allow us to use it to answer your enquiry, prepare quotations, and perform any order.

We treat buyer specifications, prices and artwork as confidential business information and share them only with staff, testing labs, packers, logistics providers and advisers who need them. We sign a mutual non-disclosure agreement on request. Do not send information you regard as highly sensitive until a written NDA is in place. How we handle personal data is explained in our Privacy Policy.

11. Language versions

The website is available in English, Russian and Chinese. Translations are for convenience. If there is any difference in meaning, the English version of these terms and of any website content prevails, unless a signed contract says otherwise.

12. Disclaimer and limitation of liability

The website and its content are provided “as is”. We try to keep it accurate and available, but we do not promise that it is complete, current or free of errors or viruses.

To the extent permitted by law, we are not liable for any indirect or consequential loss, or for loss of profit, business or data, arising from use of the website or reliance on its content. Our total liability in connection with the website itself is limited to INR 10,000. Liability for any order is governed only by the contract for that order. Nothing in these terms limits liability that cannot be limited under Indian law, such as liability for fraud.

13. Indemnity

You agree to compensate us for reasonable losses, costs and legal fees we suffer because you breach these terms, misuse our marks, registration numbers or certificates, or submit content that infringes someone else’s rights.

14. Trade, sanctions and export-control compliance

We trade in compliance with Indian foreign trade law and with the trade, sanctions and export-control laws that apply to each transaction. We may ask for buyer, end-user and destination information, and we may decline or suspend any enquiry, order or shipment where we believe it would breach applicable law or expose us, our banks or logistics partners to legal risk. Buyers are responsible for import permits, registrations and compliance in their own country.

15. Governing law and disputes

These terms are governed by the laws of India. We encourage you to contact us first; most issues can be settled by discussion within 30 days.

The courts at Ghaziabad, Uttar Pradesh, and, where it has jurisdiction, the High Court of Judicature at Allahabad, have exclusive jurisdiction over disputes arising from these terms or the website. Disputes about an order are governed by the dispute clause in that order’s contract.

16. Changes to these terms

We may update these terms from time to time. The “Last updated” date shows the latest version. Changes apply from the date they are posted and do not affect contracts already concluded. If a part of these terms is found unenforceable, the rest remains in force.
